TERMS OF USE AND PURCHASE–SALE CONDITIONS

These Terms and Conditions of Sale (hereinafter – the Terms) constitute a binding legal document establishing the mutual rights, obligations and liabilities between the Buyer and the Seller (UAB “AD Baltic”) when the Buyer purchases goods in the online store or via the order system (hereinafter – ADCAT or Online Store). The Seller: UAB “AD Baltic”, legal entity code 120054177, registered address Ukmergės g. 284, Vilnius, VAT code LT200541716. The Seller is a wholesale company primarily operating in the professional automotive market.

Under these Terms, the Buyer may be: a Consumer – a natural person purchasing goods for personal needs unrelated to business or profession (if no company code is provided at the time of order, the Buyer is considered a Consumer and consumer protection rights apply); or a Business Client (B2B) – a legal entity or natural person acting for business purposes. For business clients with separately signed wholesale agreements, these Terms apply insofar as they do not contradict the signed agreement. In case of conflict, the individual agreement prevails.

The purchase-sale contract is considered concluded when the Buyer forms the shopping cart, provides the delivery address, selects the payment method and clicks “Order” (or equivalent). Contracts are stored in the Seller’s database. The Seller reserves the right not to confirm an order if the Buyer has outstanding debts, if stock is insufficient, or if there are doubts regarding order data accuracy.

Prices are indicated in euros. For Consumers, prices are usually shown including VAT. For Business Clients (logged into ADCAT), prices may be displayed excluding VAT or with individual discounts applied. Payment methods include online banking, bank transfer (advance invoice), cash or card to courier/pick-up point (if available), and for Business Clients – according to agreed credit limits and deferred payment terms. Certain goods (e.g., alternators, starters, brake calipers) may be subject to a refundable deposit (core charge), returned upon submission of the old restorable part in accordance with manufacturer requirements.

Goods may be delivered to the Buyer’s address via courier or collected at Seller branches. Delivery terms indicated are preliminary. The Seller is not liable for delays caused by third parties or force majeure. Upon receipt, the Buyer must inspect the shipment; if packaging is damaged, this must be noted in the delivery document or the shipment refused. Acceptance without remarks confirms proper delivery.

All goods are covered by manufacturer warranty terms. Warranty applies only if installation was performed in a qualified car service (Seller may request proof) and goods were used according to manufacturer recommendations. Warranty does not apply if defects result from improper installation, natural wear, accident, misuse or modification. A purchase document and completed warranty claim form must be submitted.

Consumers have the right to withdraw from a distance contract within 14 days without providing reasons. Returned goods must be unused, in original packaging and appearance. Exceptions include electrical goods, oils, fluids (if opened) and specially ordered items. For Business Clients, the 14-day withdrawal right does not apply; returns of quality goods are possible only with Seller consent and may be subject to an administrative restocking fee.

The Seller is released from liability if losses arise because the Buyer failed to review these Terms. The Seller is not responsible for discrepancies in color, shape or parameters due to display characteristics. Although part selection tools are provided, final responsibility for compatibility rests with the Buyer or installer.

Personal data is processed in accordance with the Privacy Policy, which forms an integral part of these Terms. These Terms are governed by the law of the Republic of Lithuania. Disputes are resolved through negotiations; failing agreement within 20 days, disputes are settled in Lithuanian courts according to the Seller’s registered office (for business clients) or under consumer protection legislation (for consumers). Consumers may also submit complaints to the State Consumer Rights Protection Authority (Vilnius g. 25, 01402 Vilnius, www.vvtat.lt).
